BrickVest Capital Inc. ("BrickVest," "we," "us," or "our") operates as a premium, expertise-driven investment and development platform serving as a professional bridge between high-net-worth individuals (HNWIs), portfolio managers, institutional investors, corporate investment entities, and accredited investors seeking exposure to curated, high-potential real estate and infrastructure projects across the Gulf Cooperation Council (GCC) region.
This document constitutes the complete, binding Terms of Service, Investment Risk Disclosure, Cryptocurrency Transaction Disclaimer, Third-Party Operator Disclaimer, Investment Partnership Agreement, and all associated legal terms governing your relationship with BrickVest Capital Inc. By accessing our platform, registering an account, or making any investment, you explicitly acknowledge that you have read, understood, and agree to be bound by every provision in this document.
Critical Upfront Warning: All investments carry substantial risk, including the potential for total loss of principal. Investments are speculative, illiquid, and subject to multiple layers of market, operational, regulatory, geopolitical, currency, and third-party risks. BrickVest does not own, develop, or directly manage physical real estate assets. No guarantees, warranties, or assurances of returns are provided.
2. Investment Risk Disclosure (Comprehensive)
You may lose your entire investment. The risks outlined below are material and non-exhaustive.
2.1 Real Estate Market Volatility
GCC real estate markets are dynamic yet subject to significant volatility. Factors include global commodity cycles (particularly oil and gas), interest rate environments, foreign investment inflows, and supply dynamics. Historical corrections in GCC markets have ranged from 15–45% during downturns.
2.2 GCC Regulatory and Political Risks
Investments are exposed to sovereign regulatory frameworks that may change without notice, including foreign ownership restrictions, visa policy shifts, land-use regulations, taxation changes, and off-plan sales rules.
2.3 Currency and Foreign Exchange Risks
Investments and returns may be denominated in USD, AED, SAR, or other GCC currencies. Although several GCC currencies maintain USD pegs, these pegs are subject to sovereign discretion. Cryptocurrency transactions introduce additional extreme volatility.
2.4 Liquidity and Exit Strategy Risks
All investments are highly illiquid with lock-up periods typically ranging from 24 to 72 months. There is no guaranteed secondary market for fractional shares. BrickVest provides no liquidity guarantees, buyback programs, or assured exit mechanisms.
2.5 Project Delay, Cost Overrun, and Performance Risks
Construction projects are inherently complex. Delays due to permitting, supply chain disruptions, labor shortages, or force majeure events are common. Actual project performance may materially differ from projections.
2.10 Loss of Principal Warning
You may lose your entire investment. There is no assurance of capital return or profit. All projections and historical examples are illustrative only. Past performance is not a reliable indicator of future results.
3. Cryptocurrency Transaction Disclaimer — Critical
Read carefully. BrickVest may facilitate investments through cryptocurrency transfers. You assume FULL and EXCLUSIVE responsibility for all cryptocurrency transactions, including:
- • Accuracy of wallet addresses provided
- • Security of your private keys and credentials
- • Verification of recipient addresses before sending
- • Payment of all network gas fees
- • Custody and security of digital assets
IRREVERSIBLE TRANSACTIONS: Blockchain transactions are permanent and irreversible. If you send funds to an incorrect wallet address, those funds are PERMANENTLY LOST and CANNOT BE RECOVERED. BrickVest Capital accepts NO liability for funds sent to incorrect addresses, user error, compromised wallets, or network failures. You explicitly waive any right to recover funds from BrickVest for any cryptocurrency-related loss.
4. Third-Party Operators & Property Ownership Disclaimer
BrickVest Capital does NOT directly own, develop, manage, or control any physical real estate or infrastructure properties. Actual ownership, construction, management, and operations reside exclusively with third-party developers and operators.
BrickVest's role is strictly limited to: identifying and evaluating opportunities, conducting due diligence, structuring investment vehicles, providing investor reporting, and ensuring compliance frameworks. BrickVest Capital is NOT liable for any loss arising from developer failure, construction defects, project cancellation, fraud by third parties, declining property values, or force majeure events.
5. Investment Partnership Structure & Terms
When you invest through BrickVest, you enter into a contractual investment partnership with BrickVest Capital Inc. You receive a fractional economic interest in project returns, not direct ownership of physical assets. You have no direct control over property management, no voting rights on operational matters, no right to physical possession, and no ability to unilaterally exit before project completion. Returns are performance-based and not guaranteed.
6. Jurisdiction, Regulatory Compliance & Tax Responsibility
BrickVest Capital Inc. is incorporated in Wyoming, USA, and operates globally through licensed local partners in the GCC. You are solely responsible for determining the legality of investing in your jurisdiction and for complying with all applicable laws, including sanctions, export controls, and tax obligations. You certify that your investment is legal in your jurisdiction, that you are not a sanctioned person, and that you will report all income to relevant tax authorities.
7. KYC / AML Compliance
Comprehensive KYC/AML verification is mandatory. You must provide accurate documentation and certify that all funds are of legal origin. False information will result in immediate account termination, potential forfeiture of funds, and reporting to authorities.
8. Platform Terms & Limitation of Liability
The platform and services are provided "AS IS" and "AS AVAILABLE" without any warranties. In no event shall BrickVest's total liability exceed the amount of your original investment. We are not liable for indirect, consequential, or punitive damages, lost profits, cryptocurrency losses, or third-party failures.
9. Dispute Resolution & Arbitration
All disputes shall be resolved exclusively through binding arbitration in Cheyenne, Wyoming, under Wyoming law and the rules of the American Arbitration Association. You waive your right to jury trial, class actions, and court litigation. Disputes must be brought individually.
10. Acknowledgment & Agreement
